Terms of Service

Please read these Terms of Service carefully before using the PrimLogistics platform. By accessing or using our services, you agree to be bound by these terms.

Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and PrimLogistics Technologies Limited ("PrimLogistics", "we", "us", or "our"), a company registered under the laws of the Federal Republic of Nigeria.

By creating an account, accessing, or using any part of the PrimLogistics platform — including our website, mobile application, or API — you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use our services.

We reserve the right to amend these Terms at any time. Continued use of our services following notification of changes constitutes acceptance of the revised Terms.

Service Description

PrimLogistics operates a technology platform that connects individuals and businesses ("Senders") with independent third-party delivery agents ("Agents") for the purpose of arranging logistics and delivery services within Nigeria.

Important: PrimLogistics is a technology intermediary, NOT a carrier or logistics operator. We do not own, operate, or employ delivery vehicles or Agents. Agents are independent contractors who use our platform to find and complete delivery jobs. PrimLogistics is not a party to the delivery contract between Sender and Agent except as set out in these Terms.

Our platform provides:

  • A booking interface for scheduling intra-state and inter-state deliveries
  • Real-time tracking and status updates throughout the delivery lifecycle
  • PrimWallet — a digital wallet for seamless payment and receipt of funds
  • A verified delivery confirmation code system to prevent fraud
  • Agent vetting, ratings, and accountability mechanisms
  • Customer support for dispute resolution

User Accounts

a. Registration

To access most features of our platform, you must create an account. You agree to provide accurate, current, and complete information during registration and to update your information to keep it accurate. You are responsible for all activity that occurs under your account.

b. Account Security

You are responsible for maintaining the confidentiality of your password, PIN, and any authentication credentials. You must notify us immediately at support@primlogistics.ng if you suspect any unauthorised access to your account. We shall not be liable for any loss arising from your failure to protect your account credentials.

c. Age Requirement

You must be at least 18 years of age to create an account or use the PrimLogistics platform. By registering, you represent and warrant that you are 18 years of age or older. We reserve the right to terminate accounts found to belong to users under 18.

d. Account Suspension & Termination

We reserve the right to suspend or terminate any account at our sole discretion, without prior notice, for conduct that we reasonably believe violates these Terms, is harmful to other users, third parties, or our platform, or for any other reason. You may close your account at any time through the account settings page.

Delivery Terms & Prohibited Items

a. Prohibited Items

The following items are strictly prohibited from being sent through the PrimLogistics platform. You represent and warrant that your package does not contain any of the following:

  • Firearms, ammunition, explosives, or any weapon capable of causing bodily harm
  • Narcotics, controlled substances, or any illegal drugs
  • Cash, banknotes, or monetary instruments in excess of ₦50,000
  • Live animals (unless pre-approved in writing by PrimLogistics)
  • Counterfeit, pirated, or fraudulently labelled goods
  • Perishable foodstuffs (unless pre-approved in writing by PrimLogistics)
  • Human remains or biological specimens
  • Flammable, corrosive, toxic, or otherwise hazardous materials
  • Pornographic or obscene materials
  • Items that infringe on any third-party intellectual property rights
  • Any item whose possession or transportation is prohibited under Nigerian law

b. Liability for Prohibited Items

If you send a prohibited item through our platform, you assume full liability for all consequences, including but not limited to: seizure and confiscation by authorities, criminal prosecution, civil liability to affected parties, and termination of your account. PrimLogistics reserves the right to report prohibited items to relevant law enforcement authorities without prior notice to you.

c. Maximum Declared Value

The maximum declared value of any single shipment through the PrimLogistics platform is ₦5,000,000 (Five Million Naira). Items with a value exceeding this limit may not be sent without prior written authorisation from PrimLogistics. Our liability for lost or damaged items is capped at the declared value, subject to the Limitation of Liability provisions below.

d. Packaging

Senders are responsible for ensuring that items are adequately packaged for the type of delivery. PrimLogistics and its Agents are not liable for damage caused by inadequate packaging.

e. Delivery Timelines

Delivery timelines are estimates only and are not guaranteed. PrimLogistics shall not be liable for delays caused by traffic, weather conditions, force majeure events, incorrect delivery information provided by the Sender, or other circumstances beyond our reasonable control.

Payments & Fees

a. Wallet-Based Payments

All payments on the PrimLogistics platform are processed through PrimWallet, our integrated digital wallet. You must maintain a sufficient wallet balance to book deliveries. We accept top-ups via bank transfer, debit/credit card, and USSD.

Agent Earnings

Of every delivery fare collected

The platform fee covers technology infrastructure, payment processing, customer support, agent vetting, and insurance administration. Delivery fares are calculated based on distance, weight, package type, and selected service tier.

c. Taxes

All fees are stated exclusive of applicable taxes. You are responsible for any taxes arising from your use of our services to the extent required by applicable Nigerian law.

d. No Refund for Completed Deliveries

Once a delivery has been completed and the delivery confirmation code has been validated, no refund will be issued for the delivery fare, except as provided under our Cancellations & Refunds policy.

Cancellations & Refunds

The following cancellation and refund policy applies to all delivery bookings:

Before Agent Accepts

You may cancel at no cost before an agent accepts your delivery request.

100% Full Refund

After Agent Accepts — Before Pickup

If you cancel after an agent has accepted but before they collect the package, a 50% cancellation fee applies to compensate the agent for their time and travel.

50% Refund

After Pickup (In Transit)

Once the agent has collected your package, no refund is available for the delivery fare. Delivery will proceed to completion.

No Refund

Damaged or Lost Items

If your package is lost or damaged in transit, you may file a claim within 48 hours of the scheduled delivery time by contacting support@primlogistics.ng. Claims are assessed on a case-by-case basis. Compensation, where awarded, will not exceed the declared value of the item and is subject to our Limitation of Liability provisions.

Agent Terms

a. Independent Contractor Status

Delivery Agents using the PrimLogistics platform are independent contractors, not employees, partners, or agents of PrimLogistics. Agents are solely responsible for their own tax obligations, insurance, vehicle maintenance, and compliance with all applicable laws including traffic and transport regulations.

b. Verification & Onboarding

All Agents undergo a background verification process before being approved on the platform. This includes identity verification (NIN or BVN), guarantor submission, and review of a government-issued ID. PrimLogistics reserves the right to revoke agent access at any time for breach of these Terms or for conduct detrimental to the platform or its users.

c. Agent Earnings

Agents earn 80% of the total delivery fare for each completed delivery. Earnings are credited to the Agent's PrimWallet immediately upon delivery confirmation by the Sender via the delivery code. Agents may withdraw their wallet balance to any Nigerian bank account at any time.

d. Agent Obligations

  • Agents must only accept deliveries they can complete within the stated timeframe
  • Agents must handle all packages with care and are liable for damage caused by negligence
  • Agents must not open, tamper with, or inspect the contents of packages
  • Agents must use the PrimLogistics app to update delivery status in real time
  • Agents must obtain and verify the delivery confirmation code before releasing any package to the recipient
  • Agents must not share customer contact information with third parties

Limitation of Liability

To the maximum extent permitted by applicable Nigerian law:

  • Delays: PrimLogistics is not liable for any delays in delivery caused by traffic, weather, public holidays, force majeure events, incorrect delivery details provided by the Sender, or any other circumstances beyond our reasonable control.
  • Damaged or Lost Items: Our liability for items lost or damaged in transit is limited to the declared value of the item as stated at the time of booking, subject to a maximum of ₦5,000,000 per shipment. We are not liable for loss or damage caused by inadequate packaging by the Sender.
  • Consequential Loss: PrimLogistics shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of revenue, or loss of business, arising out of or in connection with our services.
  • Acts of God: PrimLogistics shall not be held liable for any failure or delay in performance resulting from acts of God, fire, flood, earthquake, pandemic, war, civil unrest, strikes, or any other event beyond our reasonable control.
  • Third-Party Actions: PrimLogistics is not liable for the independent actions or omissions of Agents or other third-party service providers.

In all cases, PrimLogistics' total liability to you arising from or in connection with these Terms or your use of our services shall not exceed the total fees paid by you to PrimLogistics in the three (3) months preceding the event giving rise to the claim.

Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law principles.

Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, or validity thereof shall be resolved in the following manner:

  1. Informal Resolution: The parties shall first attempt to resolve the dispute informally by contacting PrimLogistics support at support@primlogistics.ng. We will endeavour to respond within 5 business days.
  2. Mediation: If informal resolution fails within 30 days, the parties may agree to refer the dispute to a mutually agreed mediator.
  3. Litigation: If mediation is unsuccessful, the parties submit to the exclusive jurisdiction of the courts of Lagos State, Nigeria for the resolution of all disputes.
